US-based aviation holding company Air T has signed a Sale and Implementation Deed to acquire Regional Express Holdings (Rex), a major Australian regional airline. The acquisition follows Rex’s entry into voluntary administration due to ongoing financial difficulties. The transaction, expected to close by the end of the year, is contingent on approvals from creditors, courts, and regulators.

As part of the agreement, the Australian government has committed to restructuring Rex’s financing to ensure the continued operation of regional flights. Air T intends to provide funding for engine renewals and maintenance to return Rex’s grounded Saab 340 fleet to service, aiming to stabilize flight schedules and maintain essential regional connectivity.

Currently, about half of Rex’s routes face no direct competition, highlighting the airline’s unique position in Australia’s aviation market. However, the administrators have indicated that shareholders are unlikely to receive any returns from the deal, and the outcome for thousands of creditors remains uncertain. Regional councils are among those owed significant sums by the airline.

The acquisition is seen as a distressed-to-value turnaround, providing Air T with a ready operational platform in Australia, where regional routes are known for high yields. Air T acquired Rex at a discounted price due to its financial struggles. The planned capital injection is expected to help stabilize cash flows and potentially improve operational performance, especially if the airline focuses on less contested routes and leverages synergies with Air T’s existing businesses in fleet management, maintenance, and logistics.

In the short term, passengers can expect improved schedule reliability and fewer cancellations as grounded aircraft return to service. Existing tickets will be honored, and many community routes are set to be preserved, though some schedules may be adjusted as Rex reviews its network. Over time, fare changes are possible, particularly on less competitive routes, but increased competition on busier routes could help keep prices in check. If operational improvements are successful, customers may see more reliable service and clearer route offerings.

The proceeds from the sale will go to creditors rather than shareholders, with the hope that operating recovery will provide better outcomes for those owed money than liquidation would.
